Creator Agreement

This Creator Agreement is entered into between Hazy Content LLC ("Company", "Platform") and the creator ("Creator").

1. Eligibility

Creator represents and warrants that:

• Creator is at least 18 years old.
• Creator has legal authority to enter this Agreement.
• All information provided is accurate.

2. Verification Requirements

To become a Creator on Hazy Content, applicants must successfully complete the Company's identity, age, tax, and payment verification procedures.

Hazy Content LLC currently utilizes Yoti as its primary third-party age and identity verification provider.

Creators authorize Hazy Content LLC to transmit verification-related information to Yoti and to receive verification results, risk assessments, and approval determinations from Yoti.

Creators acknowledge that:

• Verification services are performed by independent third parties.
• Successful completion of a verification process does not guarantee approval as a Creator.
• Hazy Content LLC may require supplemental verification documentation even after successful Yoti verification.
• The Company may require periodic re-verification.
• The Company may suspend or terminate Creator accounts where verification concerns arise.

Creators must provide:

• Full legal name
• Date of birth
• Residential address
• Verified email address
• Government-issued photo identification
• Standalone selfie photograph
• Selfie photograph holding the submitted government-issued identification next to the Creator's face
• Banking information necessary for payout processing
• Tax documentation required by applicable law

Creators located in the United States must additionally provide:

• A completed IRS Form W-9
• A valid Social Security Number or Taxpayer Identification Number

Hazy Content LLC may require additional information, documentation, or re-verification at any time for compliance, fraud prevention, identity verification, age verification, payment processing, risk management, or legal obligations.

Failure to provide requested verification information may result in denial of Creator status, account suspension, withholding of payouts, or account termination.

Submission of verification information does not guarantee approval as a Creator.

3. License Granted to Hazy Content LLC

The Creator retains all ownership rights in and to the content uploaded to the Platform, except as expressly provided in this Agreement.

By uploading, publishing, transmitting, streaming, or otherwise making content available through Hazy Content, the Creator grants Hazy Content LLC a worldwide, non-exclusive, royalty-free, sublicensable (only where reasonably necessary to operate the Platform), transferable in connection with a merger, acquisition, sale of assets, or similar corporate transaction, and revocable (subject to the terms of this Agreement) license to:

• Host, reproduce, store, cache, process, encode, transcode, copy, and back up the content.
• Display, perform, publish, stream, distribute, transmit, and make the content publicly available through the Platform and its related services.
• Display the Creator's username, display name, profile photograph, profile image, banners, avatars, biographies, thumbnails, previews, excerpts, promotional images, and other Creator-provided branding in connection with the operation of the Platform.
• Generate thumbnails, previews, watermarks, and other technical or promotional derivatives reasonably necessary for Platform functionality.
• Use the Creator's content, likeness, profile information, and branding to advertise, market, promote, demonstrate, or publicize Hazy Content through the Company's website, mobile applications, official social media accounts, digital advertising, press materials, investor presentations, promotional campaigns, and other lawful marketing channels.
• Reproduce and display screenshots, excerpts, previews, thumbnails, promotional clips, or other limited portions of Creator content for Platform promotion, provided such use is reasonably related to marketing or operating the Platform.
• Exercise any other rights reasonably necessary to provide, maintain, secure, improve, moderate, promote, and operate the Platform and its services.

The Creator acknowledges and agrees that the licenses granted under this section authorize Hazy Content LLC to publicly display the Creator's content and related materials through the Platform so that subscribers, visitors, and other authorized users may discover, preview, purchase, subscribe to, access, or otherwise interact with the Creator's content in accordance with the Platform's functionality and the Creator's selected privacy and access settings.

Except as expressly provided in this Agreement, nothing in this section transfers ownership of the Creator's content to Hazy Content LLC. Ownership of all intellectual property rights remains with the Creator or the applicable rights holder.

The license granted under this section continues for so long as the content is hosted on the Platform and thereafter only for such additional period as is reasonably necessary to comply with legal obligations, resolve disputes, enforce this Agreement, maintain backup or archival copies, or complete ordinary technical operations related to removal of the content.

4. Creator Representations and Warranties

As a condition of using the Platform and publishing content, the Creator represents, warrants, and agrees that:

A. Ownership and Authority

• The Creator is the sole owner of, or otherwise possesses all rights, licenses, permissions, and legal authority necessary to create, upload, publish, distribute, monetize, and license all content submitted to Hazy Content.
• The Creator has full legal authority to enter into this Agreement and to grant Hazy Content LLC the rights necessary to operate the Platform.

B. Accuracy of Information

• All information submitted to Hazy Content LLC, including registration information, identity verification information, tax documentation, payout information, and any other information provided to the Company, is complete, accurate, truthful, and current.
• The Creator agrees to promptly update such information if it changes.

C. Age and Identity

• The Creator is at least eighteen (18) years of age and has reached the age of majority in the Creator's jurisdiction.
• The Creator has successfully completed, or will successfully complete, all identity, age, tax, and payment verification procedures required by Hazy Content LLC before publishing content or receiving payouts.

D. Performer Age

• Every identifiable individual appearing in any content published by the Creator is at least eighteen (18) years of age.
• Every identifiable individual voluntarily participated in the creation of the content.
• Every identifiable individual knowingly and expressly consented to being recorded, photographed, or otherwise depicted.
• Every identifiable individual authorized the publication and commercial distribution of the content.
• Where required by law, every identifiable individual has executed appropriate performer consent documentation.
• The Creator agrees to maintain all required records relating to performer age and consent and to provide such records to Hazy Content LLC upon lawful request or where required for compliance with applicable law or payment processor requirements.

E. Content Ownership and Intellectual Property

• The Creator owns or has obtained all rights necessary to publish all content uploaded to the Platform.
• No content published by the Creator infringes or misappropriates any copyright, trademark, trade secret, patent, publicity right, privacy right, contractual right, or any other intellectual property or proprietary right belonging to another person or entity.
• The Creator will not upload stolen, pirated, unauthorized, or otherwise infringing material.

F. AI-Generated and Synthetic Content

• Where AI-generated, AI-assisted, or synthetically modified content is permitted by the Platform, the Creator represents and warrants that all AI-generated content complies with the AI Content Policy.
• All AI-generated content complies with applicable law and payment network requirements.
• The Creator possesses all required rights, permissions, licenses, and documented consents necessary to create and publish such content.
• No AI-generated content depicts or imitates an identifiable individual without lawful authorization and documented consent.
• AI-generated content will be accurately labeled where required by Platform policy.

G. Lawful Content

All content uploaded by the Creator is lawful in every applicable jurisdiction in which the Creator is legally responsible for complying with the law.

The Creator will not upload, publish, advertise, promote, sell, distribute, request, or otherwise make available content or conduct involving:

• Any person under eighteen (18) years of age.
• Simulated minors or age-regression involving minors.
• Child sexual abuse material.
• Exploitation of minors.
• Non-consensual sexual content.
• Sexual assault, rape, coercion, or exploitation.
• Sleeping, unconscious, incapacitated, or otherwise non-consenting individuals in sexual situations.
• Human trafficking.
• Forced labor.
• Bestiality or animal cruelty.
• Incest where prohibited by applicable law.
• Violence, torture, murder, kidnapping, or fantasy snuff content.
• Sexual activity involving coercion, threats, intimidation, or meaningful inability to consent.
• Prostitution or escort services where prohibited by applicable law.
• Illegal drugs, drug manufacturing, or promotion of criminal activity.
• Bomb-making instructions or facilitation of illegal conduct.
• Fraud, scams, phishing, money laundering, identity theft, or deceptive practices.
• Malware, ransomware, spyware, or other malicious software.
• Unauthorized gambling or other unlawful financial services.
• Hate speech, terrorist content, or unlawful discriminatory content.
• Harassment, stalking, doxing, or unlawful disclosure of personal information.
• Copyrighted, trademarked, or otherwise protected material without authorization.
• Stolen or pirated digital content.
• Deceptive advertising or materially false representations regarding content offered for sale.
• Deepfakes, face swaps, voice cloning, or synthetic media depicting an identifiable individual without documented consent.
• AI-generated content prohibited by the AI Content Policy.
• Content that violates payment network rules or the requirements of Hazy Content LLC's payment processor.
• Content prohibited by the Terms of Service, Community Guidelines, Adult Content Policy, AI Content Policy, Performer Consent & Age Recordkeeping Policy, DMCA/Copyright Policy, or any other Platform policy.
• Any content that violates applicable local, state, federal, national, or international law.

H. Compliance with Platform Policies

The Creator has read, understands, and agrees to comply with:

• The Terms of Service.
• The Creator Agreement.
• The Community Guidelines.
• The Privacy Policy.
• The Adult Content Policy.
• The AI Content Policy.
• The Performer Consent & Age Recordkeeping Policy.
• The DMCA/Copyright Policy.
• The Refund Policy.
• The 18+ Policy.
• Any additional policies, procedures, or guidelines adopted by Hazy Content LLC from time to time.

I. Continuing Obligation

• The representations and warranties contained in this Agreement are continuing obligations.
• The Creator agrees to immediately notify Hazy Content LLC if any representation or warranty becomes inaccurate, incomplete, or no longer true.
• Any breach of this section may result in content removal, payout withholding where permitted by law, suspension or termination of the Creator's account, reporting to applicable authorities where legally required, and any other remedies available to Hazy Content LLC under this Agreement, the Terms of Service, or applicable law.

5. AI Content Representations

Creators represent and warrant that all AI-generated, AI-assisted, or synthetically modified content published through the Platform complies with the Terms of Service, Community Guidelines, AI Content Policy, applicable law, and payment network requirements.

Creators further represent and warrant that they possess all necessary rights, licenses, permissions, and written consents required to generate, publish, distribute, and monetize AI-generated content involving any identifiable individual.

Creators remain solely liable for all AI-generated content they publish.

6. Content Standards

Creators determine the type of lawful content they publish.

The Platform permits both adult-oriented content and non-explicit creator content, including modeling, fitness, photography, education, lifestyle, cosplay, entertainment, and other creator-focused digital media.

Creators remain solely responsible for ensuring that all published content accurately reflects the representations made on their creator page and complies with the Terms of Service, Community Guidelines, and applicable law.

Content moderation decisions are performed by human moderators. Hazy Content LLC may utilize AI-assisted moderation tools to assist in identifying content requiring review.

7. Performer Consent, Identity Verification, and Recordkeeping

The Creator represents, warrants, and agrees that every identifiable individual appearing in any content uploaded, published, distributed, sold, streamed, or otherwise made available through the Platform:

• Is at least eighteen (18) years of age and has reached the age of majority in the applicable jurisdiction.
• Voluntarily participated in the creation of the content without force, coercion, fraud, intimidation, or impairment.
• Knowingly and expressly consented in writing to being photographed, filmed, recorded, or otherwise depicted in the content.
• Knowingly and expressly consented in writing to the public display, publication, distribution, sale, licensing, streaming, and commercial exploitation of the content through Hazy Content and any related services.
• Where the Creator enables downloading of content by subscribers or other authorized users, knowingly and expressly consented in writing to the downloading of such content by authorized users through the Platform.
• Has authorized the Creator to upload and distribute the content through Hazy Content.
• Where required by applicable law, has executed all necessary performer consent documentation and releases.

The Creator shall verify the identity and age of every identifiable individual appearing in any content before uploading or publishing such content on the Platform. This must be done through our verification service provider, Yoti.

The Creator shall maintain complete and accurate records sufficient to demonstrate compliance with this Agreement, including, where applicable:

• Government-issued identification confirming age and identity.
• Written performer consent forms.
• Model releases.
• Documentation authorizing public distribution and commercial use of the content.
• Documentation authorizing downloads where downloadable content is offered.
• Proof-of-age documentation required by applicable law.
• Any additional records required under applicable law or Platform policies.

The Creator shall securely retain these records for the period required by applicable law and shall provide copies to Hazy Content LLC promptly upon request where reasonably necessary for compliance reviews, legal obligations, payment processor requirements, fraud investigations, content moderation, or regulatory inquiries.

Failure to maintain or provide satisfactory documentation may result in the immediate removal of content, withholding or reversal of payouts where permitted by law, suspension or termination of the Creator's account, and any other enforcement action available under the Terms of Service, Creator Agreement, or applicable law.

8. Creator Payouts and Revenue Share

Creator earnings are processed through (name of payment processor) designated by Hazy Content LLC.

Creators receive eighty percent (80%) of their individual gross revenue after application of Hazy Content LLC's twenty percent (20%) platform fee, subject to chargebacks, fraud investigations, compliance reviews, tax obligations, refunds, payment disputes, and other lawful deductions.

Beginning August 8, 2026, every Creator who maintains an active Hazy Content creator account in good standing and satisfies the payout requirements of this Agreement will receive an annual Creator Bonus equal to one percent (1.00%) of the Creator's annual Creator Earnings earned during the applicable Bonus Year.

Creators acknowledge that payouts and Annual Creator Bonuses may be delayed, withheld, reversed, or adjusted where necessary to comply with applicable law, payment processor requirements, fraud prevention procedures, payment disputes, chargeback investigations, or Platform policies.

Creators agree to comply with all eligibility, verification, and compliance requirements established by (name of payment processor) as a condition of receiving payouts.

Creator Earnings are calculated after deduction of:

• Chargebacks
• Refunds
• Payment reversals
• Fraud losses
• Taxes required to be collected or remitted by Hazy Content LLC
• Other adjustments authorized under this Agreement

Annual Creator Bonuses are calculated once per Bonus Year, rounded to the nearest U.S. cent, and paid on or before August 8 of the following year using the Creator's designated payout method.

If a transaction is reversed through a chargeback, payment dispute, ACH reversal, or other payment reversal, Hazy Content LLC may deduct the reversed transaction amount, any applicable payment processor chargeback fees, and related costs from the Creator's current or future earnings.

Creator earnings are not considered earned or payable until the applicable payout period has closed and all fraud, compliance, chargeback, payment dispute, and payment processing reviews have been completed.

9. Payout Processing

Creators authorize Hazy Content LLC and its payment providers to process payouts using the banking information supplied by the Creator.

Hazy Content LLC may delay, withhold, reserve, or reverse payouts where reasonably necessary to:

• Investigate fraud
• Address chargebacks
• Comply with legal obligations
• Respond to law enforcement requests
• Protect Platform users
• Enforce Platform policies

Creators are responsible for maintaining accurate banking and tax information at all times.

10. Payout Adjustments

Hazy Content LLC may withhold or deduct funds for:

• Chargebacks
• Fraud investigations
• Legal claims
• Compliance investigations
• Tax obligations

11. Taxes

Creators are solely responsible for determining, reporting, and paying all federal, state, local, and foreign taxes arising from earnings received through the Platform, except where Hazy Content LLC is required by applicable law to collect, withhold, or remit taxes on the Creator's behalf.

Creators agree to provide any tax documentation reasonably requested by Hazy Content LLC or its designated payment provider as a condition of receiving payouts.

Hazy Content LLC may withhold taxes or report Creator earnings to applicable tax authorities when required by law.

12. Account Suspension

Hazy Content LLC may suspend, restrict, or terminate Creator accounts at its sole discretion where reasonably necessary for:

• Violations of this Agreement, the Terms of Service, or Platform policies
• Fraud, suspected fraud, or other fraudulent activity
• Compliance concerns or failure to satisfy verification requirements
• Applicable legal or regulatory requirements
• Protection of the Platform, its users, or the Company's legitimate business interests

Hazy Content LLC may also suspend or limit access to Creator accounts while investigating suspected violations of this Agreement, payment disputes, fraudulent activity, or other conduct that may expose the Platform or its users to legal, financial, or security risks.

13. Indemnification

Creator agrees to defend, indemnify, and hold harmless Hazy Content LLC, its owners, officers, directors, employees, contractors, affiliates, successors, and assigns from and against any claims, demands, liabilities, damages, judgments, losses, costs, expenses, and reasonable attorneys' fees arising out of or relating to:

• Content uploaded, published, or distributed by the Creator through the Platform.
• Alleged or actual copyright, trademark, privacy, publicity, or other intellectual property infringement.
• Any misrepresentation or breach of this Agreement by the Creator.
• Any violation of applicable law or regulation.
• The Creator's use of the Platform or interactions with users.
• Any negligent, wrongful, or unlawful act or omission by the Creator.

14. Limitation of Liability

To the fullest extent permitted by applicable law, Hazy Content LLC, its owners, officers, directors, employees, contractors, affiliates, successors, and assigns shall not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, including but not limited to lost profits, lost revenue, loss of data, business interruption, or loss of goodwill, arising out of or relating to this Agreement or the Creator's use of the Platform, even if advised of the possibility of such damages.

To the fullest extent permitted by applicable law, Hazy Content LLC's total liability arising out of or relating to this Agreement shall not exceed the total amount of Creator Earnings paid or payable to the Creator during the twelve (12) months immediately preceding the event giving rise to the claim.

15. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of laws principles.

16. Arbitration

Except where prohibited by applicable law, any dispute, claim, or controversy arising out of or relating to this Agreement or the Creator's use of the Platform shall be resolved exclusively through final and binding arbitration administered in the State of Florida. The parties waive any right to a trial by jury or to participate in a class action, class arbitration, or other representative proceeding to the fullest extent permitted by law.

17. Entire Agreement

This Agreement constitutes the entire agreement between Hazy Content LLC and the Creator concerning the Creator's participation on the Platform and supersedes all prior or contemporaneous agreements, understandings, representations, and communications, whether written or oral, relating to the same subject matter.

If any provision of this Agreement is determined to be invalid, illegal, or unenforceable, the remaining provisions shall remain in full force and effect.
